On November 17, 2010, the companies announced the definitive merger agreement under which Hypercom would be acquired by VeriFone, in a transaction valued at approximately $485 million. Under the terms of the agreement, Hypercom stockholders will receive a fixed ratio of 0.23 shares of VeriFone (NYSE: PAY) common stock for each share of Hypercom/HYC common stock held. On September 24, 2010, VeriFone made an offer to acquire all the outstanding shares of Hypercom for 0.21 shares of VeriFone followed by an all cash offer. Hypercom rejected the offers saying that the offers significantly undervalued the company. Hypercom called VeriFonea™s all-cash proposal aopportunistic,a as it followed a adisappointinga second quarter, and claimed that the offer was aintended to disrupt its business, which has successfully taken market share from VeriFone in several markets.a Due to these factors, the firm believes the transaction undervalues the company.
