NEW YORK--([ BUSINESS WIRE ])--Bull & Lifshitz, LLP announces an investigation into possible breaches of fiduciary duty in connection with the proposed acquisition of Smurfit-Stone Container Corporation (NYSE: SSCC) (referred to as "Smurfit-Stone" or the aCompanya) by Rock-Tenn Company (aRock-Tenna) in a stock and cash transaction valued at approximately $3.5 billion consisting of approximately $1.8 billion of cash and the issuance of 30.9 million shares of Rock-Tenn common stock.
Under the terms of the definitive agreement, which has been approved by both companies' boards of directors, Smurfit-Stone shareholders will be entitled to receive 0.30605 shares of Rock-Tenn common stock and $17.50 in cash. The aggregate consideration, consisting of 50% cash and 50% RockTenn stock, is valued at $35 per-share of Smurfit-Stone common stock. Following the acquisition, Rock-Tenn shareholders will own approximately 56% and Smurfit-Stone shareholders will own 44% of the combined company.
