HICKSVILLE, NY--(Marketwire - October 7, 2009) - American Defense Systems, Inc. (NYSE Amex: [ EAG ]) ("ADSI") has filed a registration statement with the Securities and Exchange Commission for a proposed public offering of common stock in an aggregate offering amount of up to $20 million. ADSI expects to grant the underwriters an option to purchase additional shares of common stock to cover over-allotments, if any. ADSI intends to use the net proceeds from the offering to redeem $7.5 million in stated value of its Series A Convertible Preferred stock and for general corporate purposes, including working capital and capital expenditures.

Roth Capital Partners, LLC will act as book-running manager for the offering.
