DALLAS--([ BUSINESS WIRE ])--Kendall Law Group, founded by a former federal judge, is investigating the proposed acquisition of Chattem Inc. (NASDAQ: CHTT) by Sanofi-Aventis in a $1.9 billion transaction. The investigation concerns whether the consideration to be paid to shareholders in this transaction is unfair and substantially below the fair or inherent value of the company. Also, the investigation will focus on whether the Board of Directors of Chattem may have breached their fiduciary duties by not adequately shopping the Company before entering into the transaction.

On December 21, 2009, Sanofi announced that it has reached an agreement to purchase Chattem Inc. According to the agreement, shareholders will receive $93.50 in cash per CHTT share owned. This represents approximately 34% premium over the closing price of $69.98 of Chattem on the last trading day before the announcement.
