HIV-VAC Enters Letter of Intent With Richard & Lange

COLLINGWOOD, ON--(Marketwire - July 12, 2010) - HIV-VAV Inc. (PINKSHEETS: [ HIVV ]) announced today that HIV-VAC Inc. has entered into a non binding Letter of Intent with Richard & Lange, a Mexican Corporation.

Kevin Murray, President, stated that this company has a different business model than HIVV has been currently operating under. Richard & Lange is a large company that operates in Mexico concentrating on retail tool stores, raw materials, a block manufacturing plant as well as managing large construction contracts in various states and local municipalities. Richard & Lange has over 60 employees and assets in excess of $2,000,000 U.S. dollars. HIV-VAC with this available cash flow will expand and fund its operational goals.

The Company plans to restructure itself, whereas, HIV-VAC will separate the different divisions of its operations until they become self sustaining. The combination of a steady cash flow along with strong assets will enhance shareholder value as well as to give additional options in several areas that have shown a proven growth potential. The company has a plan that will strengthen its finances, its image, and will introduce a new company name that better reflects its future direction. It is expected that the Board will reach a final agreement in three to four weeks after the ongoing audits are completed. The company will seek shareholder approval and will outline each division, management additions and any and all changes.
