 a) performance shares equal to two times 2009 Net Income will be released from escrow to ZIG, if the compounded after tax net income growth rate of the business for the two financial years ending December 31, 2010, and December 31, 2011, shall be at least 30 percent; or, b) performance shares equal to one times 2009 Net Income will be released from escrow to ZIG, if the compounded after-tax net income growth rate of the business for the two financial years ending December 31, 2010, and December 31, 2011, shall be at least 20 percent but less than 30 percent.
