Danier Leather Formally Launches Up to Cdn$10 Million Substantial Issuer Bid
TORONTO, ONTARIO--(Marketwire - Oct. 24, 2012) -

Danier Leather Inc. (TSX:DL) ("Danier" or the "Corporation") announced today that it has formally launched its previously announced substantial issuer bid (the "Offer"), pursuant to which Danier has offered to repurchase for cancellation up to Cdn$10 million in value of its subordinate voting shares (the "Shares") from shareholders for cash. The Offer is by way of a "modified Dutch auction" and the range of Offer prices is between Cdn$12.55 to Cdn$13.30 per Share (in increments of Cdn$0.15 per Share). The minimum and maximum Offer prices correspond with the range of fair market values per Share determined, as of October 23, 2012, by Deloitte & Touche LLP, the independent valuator engaged to prepare a formal valuation of the Shares (the "Valuation"). The Offer will expire at 7:00 p.m. (Toronto time) on November 28, 2012, unless extended or withdrawn by the Corporation.
The formal offer to purchase and issuer bid circular, which includes a copy of the Valuation, together with the related letter of transmittal and notice of guaranteed delivery (the "Offer Documents"), containing the terms and conditions of the Offer and instructions for tendering Shares, among other things, are in the process of being mailed to shareholders and will be filed today with the applicable securities regulators and available on SEDAR at [ www.sedar.com ].
None of the Corporation, its Board of Directors or the Special Committee makes any recommendation to shareholders as to whether to tender or refrain from tendering any or all of their Shares to the Offer or as to the purchase price or prices at which shareholders may choose to tender Shares.
