(aPhysicians Formulaa) (NASDAQ: FACE) to Swander Pace Capital for shareholders. On August 15, 2012, Swander Pace agreed to purchase Physicians Formula in a deal valued at approximately $65 million, whereby shareholders would receive $4.25 in cash for each share of Physicians Formula stock owned. However, Physicians Formula announced that it has received a higher unsolicited proposal to acquire all outstanding shares of FACE for $4.90 per share, or $0.65 higher than Swanderas offer. Despite this new offer, Physicians Formula has not changed its recommendation to shareholders.
